Terms of Service
American Charging Solutions Terms of Service
1. Definitions
"American Charging Solutions" or "ACS" means American Charging Solutions, Inc., a company with its principal place of business at 1001 S Main St #49, Kalispell, Montana USA.
"Customer" means any person or entity that purchases or leases EV charging stations from ACS.
"EV charging stations" means any equipment or system that provides electric power for the charging of electric vehicles.
"Order" means a written or electronic purchase order for EV charging stations from ACS.
"Services" means any services provided by ACS to Customer, including installation, maintenance, and repair of EV charging stations.
2. Scope of Services
ACS agrees to provide Customer with the following Services:
Installation of EV charging stations at Customer's premises.
Maintenance and repair of EV charging stations.
Provision of software and firmware updates for EV charging stations.
3. Pricing
The price of the Services will be as set forth in the Order. The price of the EV charging stations will be as set forth in the ACS price list.
4. Payment Terms
Customer shall pay ACS for the Services and EV charging stations in accordance with the terms set forth in the Order.
5. Warranties
ACS warrants that the EV charging stations will be free from defects in materials and workmanship for a period of one year from the date of installation. ACS also warrants that the Services will be performed in a professional and workmanlike manner.
6. Limitation of Liability
ACS's liability for any damages arising out of or in connection with the Services or EV charging stations shall be limited to the amount paid by Customer for the Services or EV charging stations. ACS shall not be liable for any indirect, incidental, consequential, or special damages, including, but not limited to, lost profits, lost revenue, or loss of use.
7. Termination
Either party may terminate this Agreement at any time upon thirty (30) days' written notice to the other party.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of California.
9. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
10. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
11. Waiver
No waiver of any provision of this Agreement shall be effective unless in writing and signed by both parties.
12. Notices
All notices and other communications hereunder shall be in writing and shall be deemed to have been duly given when delivered in person, upon the first business day following deposit in the United States mail, postage prepaid, certified or registered, return receipt requested, addressed as follows:
